Failure to remit $500.00 sponsorship payment by July 15, 2025 may result in forfeiture of sponsorship benefits.
- INSURANCE REQUIREMENTS
Sponsor shall maintain during the term of this Agreement, at its own expense, general liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 aggregate. A Certificate of Insurance naming Amador Wine Heritage District and the City of Folsom as Additional Insured must be submitted no later than August 1, 2025.- RELEASE OF LIABILITY, INDEMNIFICATION & HOLD HARMLESS

- Sponsor agrees to release, indemnify, defend, and hold harmless the Organizer (Amador Wine Heritage District), its board members, officers, staff, volunteers, partners, agents, and representatives, as well as the City of Folsom, from and against any and all claims, demands, causes of action, losses, damages, liabilities, or expenses (including reasonable attorney’s fees and court costs) arising out of or related to Sponsor’s participation in Barbera Festival 2025, including but not limited to:

- • The use, display, or distribution of promotional materials or swag;

- • The sampling, serving, or consumption of any product provided by Sponsor;

- • Bodily injury, illness, or property damage caused in whole or in part by Sponsor, its

- representatives, employees, or subcontractors; and

- • Any breach of this Agreement by the Sponsor.
- Sponsor expressly agrees to hold harmless the Organizer and its affiliated parties from any liability or obligation arising from Sponsor’s activities at the event, except to the extent caused by the sole negligence or willful misconduct of the Organizer.
- FORCE MAJEURE
Neither Party shall be liable for failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government regulation, strikes, or pandemics. If the event is canceled for any such reason, the Organizer will work in good faith to reschedule or offer comparable promotional value.CANCELLATION POLICY – All sponsorships are final.

This Agreement constitutes the entire understanding between the Parties. Any amendments must be made in writing and signed by both Parties.

Suggested Inclusions to Request from Sponsors:

- QR code cards for digital offers or mailing list sign-ups
